Terms of Service

1. Who We Are and Acceptance of These Terms
These Terms of Service (“Terms”) are a binding agreement between you and Profound AI Solutions LLC, an Arizona (USA) limited liability company (“AskFoodie.AI”, “we”, “us”, “our”), and govern your use of the AskFoodie.AI websites, dashboard, mobile apps, QR-code and tap-tag experiences, loyalty programs, and related services (together, the “Service”).
If you create an account, click to accept, or use the Service on behalf of a restaurant, you accept these Terms for yourself and that business, and you represent that you have authority to bind it. If you are a diner using the Service by scanning a restaurant’s QR code, tapping its card, or creating an account, you accept these Terms by using the Service. If you do not agree, do not use the Service.
2. What the Service Is — and What It Is Not
AskFoodie.AI is a software platform. Restaurants use it to publish menu information and to run loyalty programs; diners use it to browse a restaurant’s menu and deals, to record visits, and to collect and use the rewards a restaurant chooses to offer.
We are not a restaurant, food seller, food preparer, or delivery service. We do not prepare, handle, inspect, price, or sell food. We are not a point-of-sale system and we do not process payments between diners and restaurants; any payment for food happens directly between you and the restaurant, outside the Service. You cannot order food or request service through the Service, and we do not transmit orders to restaurant staff. We are not an agent, partner, or joint venturer of any restaurant on the platform.
3. AI-Assisted Menu Data — Always Verify with the Restaurant
The Service uses artificial intelligence in two places: to read a photographed menu into menu items, and to read the total, date, and bill number from a receipt a diner chooses to upload. There is no AI chat assistant, and the Service does not answer diner questions about food.
Menu information produced by AI can be inaccurate, incomplete, outdated, or simply wrong, including item names, ingredients, allergens, preparation methods, dietary suitability (such as vegetarian, vegan, halal, kosher, or gluten-free status), spice levels, prices, and availability. A restaurant may publish a scanned menu before a person has checked it, in which case what you see is what the scan produced.
Menu information in the Service is provided for general informational purposes only. It is not medical, nutritional, or professional advice, and it is not a promise or guarantee by AskFoodie.AI or by the restaurant.
If you have a food allergy, intolerance, or any dietary or medical restriction, you must confirm directly with restaurant staff before ordering or eating. Never rely on menu information in the Service for decisions that could affect your health. You are solely responsible for what you choose to order and consume.
Receipt reading can also be wrong. Points awarded from a receipt are calculated from what the AI read, are capped, and may be reversed by the restaurant if the reading was incorrect. Points are not money and carry no cash value (Section 5).
4. Restaurant Content and Responsibility
Restaurants (including their owners, managers, and staff) are solely responsible for all content they provide to the Service — menu items, descriptions, prices, photos, ingredient lists, allergen information, dietary tags, availability, opening hours, and promotional or loyalty offers (“Restaurant Content”).
Each restaurant represents and agrees that it will: (a) provide accurate, current, and complete Restaurant Content and promptly correct it when it changes; (b) review AI-scanned or imported menu data before relying on it; (c) comply with all laws that apply to it, including food-safety, hygiene, labeling, allergen-disclosure, pricing, tax, and consumer-protection laws in its jurisdiction; and (d) honor the offers, prices, and loyalty rewards it publishes through the Service.
AskFoodie.AI has no obligation to verify Restaurant Content and does not endorse any restaurant. As between AskFoodie.AI and the restaurant, the restaurant bears all responsibility for its food, its premises, its service, and the accuracy and legality of its Restaurant Content.
5. Loyalty Programs, Rewards, and Points
The restaurant sets the promise and the restaurant honors it. A restaurant chooses whether to run a punch card, what fills it, what reward it gives, any fine print on that reward, and what benefit (if any) attaches to a membership tier. AskFoodie.AI records visits and rewards; we do not fund, guarantee, or honor any reward, perk, or tier benefit, and we are not liable if a restaurant declines to honor one. Your recourse is with the restaurant.
Rewards and points are not money. Punches, stamps, points, tiers, rewards, and perks have no cash value, are not property, cannot be bought, sold, transferred, or exchanged for cash, and are not a stored-value, gift-card, or prepaid-payment instrument.
Earning requires being there. A visit is recorded when a diner taps the restaurant’s card or gives a code to its staff at the restaurant. Earning is rate-limited and we may void visits, points, or rewards that we reasonably believe were obtained by fraud, error, or abuse.
Points decrease with inactivity and may reach zero. A restaurant can change its tier benefits at any time. Punch-card terms are fixed for a diner already collecting on that card; a change takes effect on the next card.
Uploaded bills. Where a restaurant allows it, a diner may photograph a bill to have points reflect what they spent. A bill must match a recorded visit at that restaurant and be uploaded within a limited window. The restaurant can reverse points from a bill it believes was misread or not genuine. Submitting a bill that is not your own, or that was not issued by that restaurant, is a violation of Section 9.
If a restaurant’s subscription lapses, diners stop earning at that restaurant. Rewards and points already earned remain in the diner’s account and remain the restaurant’s to honor.
6. Prize Draws
We may run prize draws in which visits to participating restaurants during a stated period count as entries.
Entry is free. No purchase is necessary to enter or win, and a purchase does not improve your chances. Each prize draw’s official rules are published on that draw’s own page and govern it — including who may enter, the entry period, the prizes, how many entries a visit earns, and how winners are selected. Prize draws are open to entrants aged 18 or over and are void where prohibited by law. Owners, managers, and staff of participating restaurants cannot enter.
Prizes may be vouchers usable only at the restaurants participating in that draw, before they expire. Vouchers are not gift cards, have no cash value, cannot be redeemed for cash, and are honored by the participating restaurant rather than by us. A participating restaurant agrees to honor them as a condition of joining.
We run prize draws at our discretion and may cancel or modify one where required by law or where it cannot be run as published.
7. Accounts and Teams
You must provide accurate account information. You sign in with a one-time code sent to your email address, or with Google — there is no password. Keep access to that email account secure; anyone who can read it can sign in as you. You are responsible for all activity under your account.
A restaurant account may include team members with different roles (owner, manager, staff); the account owner is responsible for its team members’ use of the Service. Notify us immediately at legal@askfoodie.ai of any unauthorized use.
8. Free Trial, Subscriptions, and Payment
Free for diners. Diners never pay us. Using the Service as a diner — browsing a menu, recording visits, collecting rewards, entering a prize draw — is free.
Free trial. A new restaurant gets a trial period, stated at signup, with no payment card required. Trial length and any promotional allowance are provided at our discretion; we may modify, limit, or withdraw them at any time, and they create no entitlement to continued free access.
Paid subscriptions. After the trial, a restaurant needs a paid subscription for its diners to keep earning visits, points, and rewards. Menus and QR codes are not gated behind the subscription. Subscriptions are billed through our payment processor, Stripe. By subscribing you authorize recurring charges (monthly or yearly, as selected) until you cancel. Subscriptions renew automatically; cancellation takes effect at the end of the current billing period, and you keep access until then. If a charge fails, we may continue providing paid features for a short grace period while payment is retried; if it is not resolved within that period, paid features may be suspended without further notice. Fees are exclusive of taxes, which you are responsible for. We may change subscription prices with at least 30 days’ notice; changes apply from your next renewal. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods or unused features.
9. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Submit false, misleading, or infringing content, including inaccurate allergen or dietary information
- Attempt to gain unauthorized access to the Service, other accounts, or our systems
- Interfere with or disrupt the Service, or impose an unreasonable load on it
- Scrape, harvest, or bulk-extract data from the Service
- Record a visit you did not make, upload a bill that is not yours or was not issued by that restaurant, or otherwise attempt to obtain visits, points, rewards, or prize-draw entries you did not earn
- Send spam or unsolicited communications through the Service
- Resell or provide the Service to third parties except as intended (a restaurant making it available to its own guests)
We may suspend or terminate access for violations.
10. Intellectual Property
The Service — including its software, design, features, and technology — is owned by AskFoodie.AI or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms.
Restaurant Content remains the restaurant’s property. Each restaurant grants us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, adapt, and process its Restaurant Content as needed to operate, provide, improve, and promote the Service — including processing photographs of its menu through third-party AI models to extract menu data. If you send us feedback or suggestions, we may use them without restriction or compensation.
11. Third-Party Services
The Service depends on third-party providers — including AI model providers (such as Google), payment processing (Stripe), hosting, storage, and email delivery. We are not responsible for the acts, omissions, or outages of third-party providers, and your use of third-party services (such as Stripe’s checkout) may be subject to their own terms.
12. Disclaimer of Warranties
THE SERVICE AND ALL CONTENT AND AI OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT AI OUTPUT OR RESTAURANT CONTENT IS ACCURATE, COMPLETE, OR CURRENT, OR THAT ANY FOOD ITEM IS FREE OF ANY ALLERGEN OR INGREDIENT OR SUITABLE FOR ANY DIET.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) ASKFOODIE.AI AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL; (b) WE SHALL NOT BE LIABLE FOR ANY ALLERGIC REACTION, ILLNESS, INJURY, OR OTHER HARM ARISING FROM FOOD OR BEVERAGES, FROM RESTAURANT CONTENT, OR FROM RELIANCE ON AI OUTPUT — YOUR SOLE RECOURSE FOR FOOD-RELATED HARM IS AGAINST THE RESTAURANT; AND (c) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE AND (ii) USD 100.
Some jurisdictions do not allow certain exclusions or limitations, including for consumers; in those jurisdictions the above applies only to the extent permitted, and rights you have under mandatory law (including, for India-resident consumers, non-waivable rights under applicable consumer-protection law) are not affected.
14. Indemnification
Each restaurant agrees to defend, indemnify, and hold harmless AskFoodie.AI and its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) its Restaurant Content, including inaccurate allergen, ingredient, or dietary information; (b) its food, beverages, premises, or services; (c) its violation of these Terms or of any law; or (d) any claim by its guests or staff relating to the restaurant’s use of the Service.
15. Suspension and Termination
You may stop using the Service, cancel your subscription, or delete your account at any time. We may suspend or terminate your access (with notice where practicable) if you materially breach these Terms, create legal exposure for us, or if we discontinue the Service. Upon termination your right to use the Service ends; sections that by their nature should survive (including Sections 3, 4, 5, 10, and 12–18) survive. We may retain and delete data as described in our Privacy Policy.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws rules, and disputes shall be resolved in the state or federal courts located in California, and you consent to their jurisdiction. Nothing in this section deprives a consumer of protections or forum rights granted by mandatory law in their country of residence.
17. Changes to the Service or These Terms
We may modify the Service or these Terms. For material changes we will give notice by email or through the Service before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms; if you do not agree, stop using the Service before then.
18. General
If any provision of these Terms is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service.
